Platform Terms of Service

The agreement between Revyufy and the owners who run centers on it.

These terms are an agreement between XenonLabs Software Development Services ("Revyufy") and you, the person or business that signs up to run one or more centers on Revyufy ("Owner"). Learners who use your center agree to our separate Learner Terms of Use.

1. The service

Revyufy provides a white-label learning platform: a branded website on a revyufy.com subdomain, course and exam tools, community and chat, payment collection from your learners, and — where you turn it on for a learner — access through the Revyufy mobile app. We may improve or change features over time, and will give reasonable notice before removing a feature you rely on.

2. Accounts, centers and staff

  • New Owner accounts are reviewed before activation, and we may decline an application. Your rates are set when we approve your account.
  • You can run up to 5 centers on one Owner account. A center's subdomain can't be changed after the center is created.
  • Storage is limited to the allowance on your account.
  • You are responsible for everyone given staff access to your centers — including people invited by your staff — for the permissions they hold, and for what they do.
  • Keep your account secure and your business and payout details accurate. We may require two-step verification to change payout details or request payouts.
  • Deleting a center is immediate and permanent for its content and learner records. We keep its payment and payout records as described in section 9.

3. Fees

You pay usage-based fees, invoiced monthly in arrears for the previous billing period. Your billing period runs from the day your account was approved.

  • Rate changes: we may change your rates by notifying you. A change takes effect on the date in the notice, and usage-based fees are prorated by day within the billing period. The Revyufy fee in force when a learner payment settles is the one that applies to it.
  • Due dates: each invoice shows its due date. If an invoice is still unpaid after the grace period that follows its due date, all of your centers are suspended: your learners and staff can't use them, and payouts are paused. Everything is restored automatically once every overdue invoice is paid.

4. Collecting payments from learners

Revyufy collects your learners' online payments as your collecting agent, through our payment processor. You are the seller of your programs.

  • For each payment, your share is the amount paid less payment-processing charges and the Revyufy fee. If charges on a very small payment exceed it, the difference is carried against your future earnings.
  • Payouts are on request. For each center you can request a payout of your settled balance once it reaches ₱500. A ₱10 disbursement fee applies to each payout, one request per center can be open at a time, and no payouts are made while your centers are suspended. We process payout requests manually to the payout account on file.
  • You set your prices, installment plans, access periods and refund rules, and you handle learner refund requests, outside the platform. You should publish a Refund & Payment Policy on your center.
  • If a learner payment is reversed or charged back, we may deduct it from your future payouts or invoice you for it.
  • You are responsible for your own taxes on your sales.

5. Your center's policies

You may publish your own Terms of Enrollment, Refund & Payment Policy and Privacy Notice as PDFs. Learners are asked to accept your Terms of Enrollment and Refund & Payment Policy when they pay online or redeem a voucher; your Privacy Notice is shown to them. Your policies must not conflict with the law, the Learner Terms of Use, or these terms.

6. Data protection

For your learners' study data you are the personal information controller and Revyufy is your personal information processor, under the Data Processing Agreement, which forms part of these terms. You are responsible for having a lawful basis for the data you collect and for answering your learners' privacy requests, with our help.

7. Your content

You keep ownership of your content. You confirm you have the rights to everything you upload and give Revyufy permission to host, process and display it to deliver the service. We may remove content that is unlawful or that infringes someone else's rights.

8. Acceptable use

You will not use Revyufy to break the law, infringe intellectual property, send spam, sell prohibited goods or services, or interfere with the platform or other centers.

9. Cancellation, suspension and termination

  • To cancel, contact us at the address below. Your centers stay available until the end of your current billing period, and we send a final invoice for that period's usage.
  • We may suspend your centers for unpaid invoices (section 3) or for serious breach of these terms, after notice where practical.
  • About 30 days after your final billing period ends, we permanently delete your centers, content, videos and files, and your Owner account. We keep billing, payment and payout records for as long as tax law requires.
  • There is no self-service export yet. If you need a copy of your data, contact us before you cancel.

10. Liability

To the extent the law allows, neither party is liable for indirect or consequential losses, and Revyufy's total liability is limited to the fees you paid Revyufy, including Revyufy fees deducted from learner payments, in the 12 months before the claim.

11. General

We will ask you to accept material changes to these terms. These terms are governed by the laws of the Philippines, and the courts of Rizal have jurisdiction.
